Baiyun Airport updates governance documents, appoints auditors for 2025

Guangzhou Baiyun International Airport Co., Ltd. (Baiyun Airport) has approved amendments to its articles of association, shareholders' meeting rules, board of directors' meeting rules, and independent directors' work system, effective November 12, 2025. These revisions, approved at the first extraordinary general meeting of 2025, also included the appointment of the financial and internal control audit institutions for 2025.

The total voting shares represented at the meeting amounted to 1,414,051,614 shares, constituting 59.7473% of the company's total voting shares. All seven proposals, ranging from auditor appointments to governance document revisions, were approved. The amendments to the articles of association, a special resolution, passed with over two-thirds of the valid voting rights, while other proposals passed as ordinary resolutions with over half of the valid voting rights.

These changes are designed to update the company's governance framework, align with current regulations, and enhance operational efficiency. The approved revisions cover critical areas such as capital management, shareholder rights, and board responsibilities, ensuring compliance and robust corporate governance for the upcoming year.
