Jack Sewing Machine names new directors, committee members

Jack Sewing Machine (SSE:603337) held the 27th meeting of its sixth session of the board of directors on November 12, 2025, appointing Ruan Jixiang as an executive director and legal representative. The board also elected Xie Huaibao, Wang Zhuo, and Ruan Fude as members of the audit committee, with Xie Huaibao serving as chairman. Qiu Yangyou was appointed to the finance committee. These appointments followed the company's first extraordinary general meeting on the same day.

Shareholders at the extraordinary general meeting approved eight resolutions, including the cancellation of the supervisory board and amendments to the company's articles of association, along with updates to several management policies such as those for related party transactions and external guarantees. All proposals received overwhelming support, with over 96% of votes in favor. The special resolutions, including the article of association changes, passed with over two-thirds of the votes.

The company's board of directors, comprising nine members, had eight in attendance, with chairman Ruan Jixiang unable to attend due to work commitments. All three supervisors were present. The meeting was chaired by board secretary Xie Yunxiao, ensuring all procedures complied with legal requirements and company articles.
