Zhejiang Medicine Co., Ltd. is preparing for its first extraordinary general meeting of shareholders in 2025, scheduled for November 13, 2025, to deliberate on a significant restricted stock incentive plan. The proposed "2025 Restricted Stock Incentive Plan (Draft)" and its summary are designed to establish a long-term incentive mechanism, attract and retain talent, and align the interests of shareholders, the company, and its core team. This initiative aims to enhance the dedication of directors, senior management, and key employees, fostering sustained company development and maximizing shareholder value.

The incentive plan involves granting a total of no more than 10,284,000 restricted shares, which will be repurchased by the company from the secondary market. This amount represents approximately 1.0694% of the company's total share capital of 961,637,750 shares at the time of the draft's announcement, with no reserved equity. Shareholders will also review the "2025 Restricted Stock Incentive Plan Implementation Assessment Management Measures."

Furthermore, the meeting will seek shareholder authorization for the board of directors to manage all related matters concerning the 2025 Restricted Stock Incentive Plan. This includes determining eligible participants, adjusting the number and price of shares in case of capital changes, granting and lifting restrictions on shares, and handling any modifications or termination of the plan.
