Anhui Expressway signs agreements for infrastructure cost-sharing

Anhui Expressway Company Limited announced new continuing connected transactions, formalizing cost-sharing agreements for 2025 related to the Anhui provincial expressway network toll collection management platform's off-site dual-system disaster recovery center construction and other projects. These agreements, signed on November 4, 2025, with Transport & Digital Technology and Anhui Expressway Network Operations, involve multiple subsidiaries of Anhui Expressway. Costs will be allocated based on each company's proportional monthly toll revenue from the previous year. The total maximum annual value for these disaster recovery cost-sharing agreements is estimated at RMB10,773,171 for 2025.

These transactions are with entities under Anhui Communications Holding Group Co., Ltd., Anhui Expressway's controlling shareholder. The new agreements are consolidated with prior continuing connected transactions from 2024, including new network services agreements and ETC services agreements. The aggregate annual cap for all consolidated transactions for the year ending December 31, 2025, is RMB49,823,171, covering the disaster recovery, new network services, and ETC services.

The company's board, including independent non-executive directors, confirmed the agreements' terms and annual caps are fair, reasonable, and in the best interests of the company and its shareholders, conducted under normal commercial terms. Since the maximum percentage ratios for the consolidated transactions exceed 0.1% but are below 5%, independent shareholder approval is not required, but they are subject to reporting, announcement, and annual review requirements under Chapter 14A of the Listing Rules.
