Bank of China's share capital unchanged in October

Bank of China reported no changes in its statutory or registered share capital for the month ended October 31, 2025, maintaining its H-share and A-share structures. The statutory or registered share capital for H-shares remains at 83,622,276,395 yuan, with a par value of 1 yuan per share, totaling 83,622,276,395 yuan. Similarly, the A-share capital stands at 238,590,135,419 yuan, also with a par value of 1 yuan per share, amounting to 238,590,135,419 yuan. Additionally, two classes of unlisted domestic preference shares show no changes in their statutory or registered capital, with the third class at 730,000,000 yuan (100 yuan par value) and the fourth class at 270,000,000 yuan (100 yuan par value). The total statutory or registered share capital for the period is 422,212,411,814 yuan.

The company also reported no movements in its issued share capital and treasury shares during October. The total number of issued H-shares remains 83,622,276,395, and A-shares stands at 238,590,135,419. The two classes of unlisted domestic preference shares continue to be at 730,000,000 and 270,000,000, respectively.

Regarding convertible instruments, Bank of China has outstanding domestic preference shares convertible into A-shares upon trigger events. The third class of domestic preference shares, with an issuance value of 73,000,000,000 yuan and a conversion price of 3.62 yuan, could potentially lead to the issuance of 20,165,745,856 A-shares. The fourth class, valued at 27,000,000,000 yuan with the same conversion price, could result in 7,458,563,535 A-shares. No new shares were issued from these convertible instruments during the month.
