Anji Microelectronics opts against early redemption of convertible bonds

Anji Microelectronics Technology (Shanghai) Co., Ltd. has decided not to prematurely redeem its "Anji convertible bond" (bond code: 118054), even though its stock price triggered the conditional redemption clause. From October 13 to October 31, 2025, the company's stock maintained a closing price not lower than 130% of the current conversion price of $128.70 per share, reaching $167.31 per share. The company’s board of directors approved this decision on October 31, 2025.

The initial conversion price for the "Anji convertible bond" was $168.11 per share. Following a 2024 annual equity distribution and subsequent equity incentive vesting in 2023 and 2024, the latest conversion price has been adjusted to $128.70 per share. The company confirmed that its controlling shareholder, major shareholders, directors, supervisors, and senior management have not traded the convertible bonds in the six months prior to the redemption condition being met, from May 1 to October 31, 2025, except for Anji Microelectronics Co. Ltd., which sold 480,000 bonds.

Anji Microelectronics further committed that should the redemption trigger be met again within the next three months (November 1, 2025, to January 31, 2026), it will not exercise its early redemption right. After this period, starting February 1, 2026, if redemption conditions are met, the board will reconsider the decision. Shenwan Hongyuan Securities Underwriting & Sponsorship Co., Ltd., as the bond's sponsor, has verified and approved the company's decision, confirming compliance with relevant regulations.
