Orient Securities strengthens governance with updated policies

Orient Securities Company Limited convened its 2025 first extraordinary general meeting on October 24, 2025, to approve several key amendments to its corporate governance framework. Shareholders passed resolutions to revise the company’s articles of association, its attached shareholders' meeting rules, and board of directors' meeting rules. Additionally, amendments to the "Measures for the Management of Related Transactions," "Measures for the Management of Raised Funds," "Measures for the Management of External Guarantees," and "Measures for the Administration of Independent Directors" were approved. The "Measures for the Management of Shares Held by Directors, Supervisors, and Senior Management and Their Changes" was also updated.

The resolutions were passed with strong shareholder support. The special resolution to revise the articles of association received over two-thirds approval from shareholders with voting rights. The ordinary resolutions, including the various management policy revisions, were approved by more than half of the voting shareholders present. For instance, the revision of the "Measures for the Management of Raised Funds" garnered 99.8972% approval from total attending shareholders.

The company's board of directors, supervisors, and senior management were all in attendance, emphasizing the importance of these governance updates. Guohao Law Firm (Shanghai) and Grandall Law Office (Shanghai) attested that the meeting's procedures and resolutions complied with legal and regulatory requirements, ensuring the validity of the adopted changes.
