Fosun pharma sets 2025 EGM to approve incentive plans, key agreements

Shanghai Fosun Pharmaceutical Group Co., Ltd. has announced its first Extraordinary General Meeting (EGM) for 2025, scheduled for October 23, 2025, at 13:30 at the Shanghai Tianxi Jiahua Putique Hotel. The meeting will address several crucial proposals, including the company's 2025 A-share stock option incentive plan and its implementation and assessment measures, as well as the 2025 H-share restricted share unit plan. Additionally, the EGM will seek authorization for the board of directors to handle related matters concerning these incentive plans.

A significant portion of the agenda involves the proposed grant of H-share restricted share units to key executives. This includes 953,500 units to Mr. Chen Yuqing, 686,500 units to Ms. Guan Xiaohui, 686,500 units to Mr. Wen Deming, 610,200 units to Mr. Wang Kexin, and 762,800 units to Mr. Liu Yi. These grants will be subject to shareholder approval. The meeting will also review and approve the renewal of financial services agreements with Shanghai Fosun High Technology Group Finance Co., Ltd. and product/service supply framework agreements with China National Pharmaceutical Group Co., Ltd.

Shareholders can participate through both on-site attendance and online voting via the Shanghai Stock Exchange's network voting system, available from 09:15 to 15:00 on October 23, 2025. The record date for A-share shareholders eligible to attend is October 17, 2025.
