China Securities backs indirect subsidiary's RMB 2.61 bn note issuance

China Securities Co., Ltd. has disclosed that its wholly-owned subsidiary, China Securities International Finance Holdings Company Limited, provided a guarantee for a RMB 2.61 billion note issued by CSCIF Hong Kong Limited. The issuer, an indirect wholly-owned subsidiary of China Securities International, completed the issuance of the 59-day medium-term note on October 21, 2025, as part of its existing medium-term note program. This guarantee is unconditional, irrevocable, and covers the principal and interest of the notes, with no counter-guarantee.

Following this issuance, China Securities International's total outstanding guarantee for the issuer now stands at RMB 105.30 billion, which includes the current guarantee. The guaranteed amount for this specific transaction is RMB 2.61 billion, which will be utilized to supplement the issuer's working capital for its overseas business operations. The guaranteed party's asset-liability ratio exceeds 70%, but China Securities Co., Ltd. maintains 100% equity in China Securities International, allowing it to monitor the issuer's debt repayment capabilities effectively.

The decision to provide this guarantee was approved by China Securities International's board of directors and shareholders, and falls within the scope of authorizations granted by China Securities Co., Ltd.'s general meeting of shareholders. As of the disclosure date, the company and its controlled subsidiaries have provided guarantees totaling RMB 411.78 billion, representing 38.68% of the company's latest audited net assets.
