Ping An completes capital reduction, amends articles of association

Ping An Insurance (Group) Company of China Limited has completed its registered capital change and amended its Articles of Association. This follows the cancellation of 102,592,612 A-share repurchase shares, as detailed in announcements on March 20, 2025, May 14, 2025, and September 3, 2025. The company's registered capital has been adjusted to RMB 18,107,641,995.

The updated Articles of Association reflect this capital change and revised share structure. The 28th revision to the Articles of Association, approved at the 2023 Annual Shareholders' Meeting on May 30, 2024, was formally approved by Jin Fu (2025) No. 42.

The company has finalized the registration of its changed capital and filed the revised Articles of Association with the Shenzhen Market Supervision Administration. The amended Articles of Association became effective on October 20, 2025, following the fulfillment of post-reporting procedures with the National Financial Regulatory Administration.
