Shanghai Pharma's ownership restructured amid international drug approvals

Shanghai Pharmaceuticals Holding Company Limited ("Shanghai Pharma") has disclosed a controlling shareholder equity adjustment. The Shanghai State-owned Assets Supervision and Administration Commission transferred its 100% equity in Shanghai Industrial (Group) Co., Ltd. ("Shanghai Industrial Group") to Golden Bell International Holdings Limited, a wholly-owned subsidiary of Shanghai Industrial (Group) Co., Ltd. This adjustment increases Shanghai Industrial's ownership and control of Shanghai Pharma from 25.303% to 38.487%, without changing the controlling shareholder or actual controller, which remains the Shanghai State-owned Assets Supervision and Administration Commission. This transaction qualifies for an exemption from a tender offer under regulatory guidelines.

Concurrently, Shanghai Pharma's subsidiary, Changzhou Pharmaceutical Factory Co., Ltd., secured significant international regulatory approvals. The company received US FDA approval for its Doxycycline Capsules (40mg), an ANDA application for which Shanghai Pharma invested approximately RMB 10,833,300 in research and development. This product is intended for inflammatory lesions of rosacea and will compete in a market with an estimated $130 million sales in the US.

Additionally, Changzhou Pharmaceutical Factory Co., Ltd. obtained Malaysian NPRA registration certificates for Rivaroxaban Tablets (10mg, 15mg, 20mg), with R&D investments totaling approximately RMB 3,248,200 for Southeast Asian markets. These international approvals enhance Shanghai Pharma's global market presence, though export operations are subject to market and regulatory risks.
