Xinjiang Sayram appoints new general manager, plans board expansion

Xinjiang Sayram Modern Agriculture Co., Ltd. held its third extraordinary general meeting of shareholders on October 9, 2025. Shareholders approved the "Proposal on Amending the Company's Articles of Association" by a two-thirds majority of effective voting rights. Out of 287,312,294 total votes, 286,247,373 (99.6293%) were in favor, 992,801 (0.3455%) against, and 72,120 (0.0252%) abstained.

Concurrently, the company's eighth board of directors held its fourteenth meeting on October 9, 2025. All seven directors attended, approving the addition of Mr. Pan Xinmin as a candidate for the eighth board of directors and his appointment as the company's general manager. Both proposals received unanimous approval from the board. Mr. Pan Xinmin's term will run from the date of shareholder approval until the expiration of the eighth board of directors' term.

The board also decided to convene the fourth extraordinary general meeting of shareholders for 2025 on October 27, 2025, to further deliberate on the proposal concerning the additional director. This meeting will utilize both on-site and online voting methods via the Shanghai Stock Exchange network voting system.
