Yunnan Jinggu Forestry revamps governance, expands business, changes auditor

Yunnan Jinggu Forestry has announced a series of significant corporate governance and operational changes, including the abolition of its board of supervisors, with its functions to be assumed by the board's audit committee. This move necessitates revisions to the company's articles of association and various internal policies, which will be subject to shareholder approval. The company is also broadening its business scope to include agricultural product production, sales, processing, transportation, storage, and related services, as well as information system integration and technology services.

Concurrently, the company will change its auditing firm for 2025, proposing to appoint Shanghai Certified Public Accountants as its financial and internal control auditor. This follows the expiration of the contract with its current auditor, ZhongShenZhongHuan Certified Public Accountants. The proposed audit fee for 2025 is RMB1.2 million, an increase of RMB200,000 from 2024. These changes, including the auditor appointment, are pending approval at the upcoming extraordinary general meeting of shareholders.
