Xinjiang Sayram Modern Agriculture Co., Ltd. will hold its third extraordinary general meeting of shareholders for 2025 on October 9, 2025, to vote on a proposal to revise its articles of association. The meeting will take place physically at the company's conference room in Shuanghe City, Xinjiang, with online voting available via the Shanghai Stock Exchange from 9:15-15:00 on the same day. These revisions aim to enhance governance, operational efficiency, and regulatory compliance.

The proposed amendments include changing all references from "Shareholders' General Meeting" to "Shareholders' Meeting," extending the company's operating period from 50 years to "long-term," and clarifying the roles and responsibilities of the legal representative and the board of directors. Key changes also involve updates to the company's business scope, shareholder rights, and the framework for asset management and financial assistance, including new thresholds for major transactions requiring board or shareholder approval.

Additionally, the revisions detail new regulations for independent directors, board committees like the audit and nomination committees, and shareholder oversight, aligning with updated legal and regulatory requirements. The total issued shares remain 581,376,960. These changes were approved by the eighth board of directors at its twelfth meeting and await final approval from the market supervision and administration department.
