Ningbo Jifeng revises articles of association, director resigns

Ningbo Jifeng Auto Parts Co., Ltd. held its first extraordinary general meeting of shareholders in 2025 on September 25, 2025. Key resolutions passed included the removal of the supervisory board and revisions to the articles of association, as well as amendments to the rules of procedure for general meetings and the rules of procedure for board meetings. These changes were approved by over two-thirds of the voting rights held by attending shareholders or their proxies.

Concurrently, Ningbo Jifeng Auto Parts announced that Ma Zhuqiong resigned from her position as a director due to work adjustments, effective September 25, 2025. Her resignation does not cause the board of directors to fall below the minimum required number, and she has completed all necessary handover procedures. Her departure is not expected to affect the normal operations of the company's board.

The revised articles of association, effective from the date of shareholder approval, outline changes in corporate governance. These include new provisions for board and shareholder meeting procedures, as well as a clarification of director responsibilities and qualifications. The company's registered capital is stated as RMB 1,266,076,241.
