Dawning Information Industry Co., Ltd. has scheduled its third extraordinary general meeting for October 9, 2025, to deliberate on critical corporate governance reforms. A key proposal involves eliminating the supervisory board, with its functions to be absorbed by the board of directors' audit committee. The proposed amendments also include standardizing the term "shareholders' meeting" to "shareholders' association," refining content related to shareholders' rights, and introducing dedicated sections for controlling shareholders and actual controllers. Furthermore, the board of directors' structure will be enhanced with new provisions for specialized committees and independent directors. These changes aim to improve the company's governance framework and internal controls.

The meeting will also address revisions to the "Rules of Procedure for Shareholder Meetings," "Rules of Procedure for Board Meetings," and the "Independent Director Work System." Shareholders will have the opportunity to vote on these proposals during both a physical meeting and via online channels.
