CITIC Securities unit issues $5m notes, subsidiary guarantees debt

CITIC Securities Company Limited announced that its indirect wholly-owned subsidiary, CSI MTN Limited, will issue $5 million in medium-term notes on September 23, 2025. This issuance falls under an existing medium-term note program established on March 29, 2022, and is guaranteed by CITIC Securities International, a wholly-owned subsidiary of CITIC Securities. Following this issuance, the total outstanding principal under the program will reach $2.701 billion.

The guarantee is provided to supplement the working capital of the guarantor group, as CSI MTN Limited serves as a special purpose vehicle for offshore debt financing decisions by CITIC Securities and its guarantor. As of the announcement date, the total external guarantees provided by CITIC Securities and its controlled subsidiaries amount to RMB 1,822.83 billion, representing 62.19% of the company's most recent audited net assets.

The board of directors and shareholders of CITIC Securities International have approved the guarantee. The company confirms no overdue guarantees. This action is within the scope of prior authorizations.
