Bloomage Biotechnology's major shareholder increases stake to over 60%

Bloomage Xinyu Investment Co., Ltd., the controlling shareholder of Bloomage Biotechnology Corporation, and its concerted parties, increased their aggregate stake in the company. Between August 27, 2025, and September 19, 2025, Bloomage Xinyu acquired 4,036,842 shares, raising combined ownership from 59.17% to 60.01% of the total share capital.

This equity change fulfills part of Bloomage Xinyu's previously disclosed plan to increase its holdings. The plan, announced on August 8, 2025, aimed to invest between RMB 200 million and RMB 300 million in company shares. As of September 19, 2025, the total amount invested exceeds RMB 200 million, though the full planned range has not yet been reached. The shares were acquired using proprietary funds and borrowed capital.

The increase does not alter the company's controlling shareholder or actual controller, nor does it impact corporate governance or ongoing operations. Zhao Yan, as a concerted party, directly and indirectly holds 100% of Bloomage Xinyu's shares and 100% of Shanghai Yanze's partnership interests.
