CRRC shareholders approve interim dividend, new board and executive appointments

CRRC Corporation Limited held its second extraordinary general meeting of shareholders in 2025 on September 22, 2025, where shareholders approved the 2025 interim profit distribution plan and ratified new board and independent non-executive director appointments. The meeting, held in Beijing, saw significant participation, with 57.586020% of total voting shares represented. Shareholders approved an interim dividend of CNY 0.025570 per share for A-share holders and the equivalent for H-share holders, reflecting a strong endorsement of the company’s financial performance.

Key resolutions passed included the appointment of Sun Yongcai, Wang An, and Fan Bing as Fourth Session non-independent directors, and Wang Xifeng, Wei Mingde, Yang Jiayi, and Zhang Zhengrong as Fourth Session independent non-executive directors. All these resolutions received overwhelming support, with approval rates exceeding 98% for most appointments. Additionally, proposals to revise the articles of association, the rules of procedure for the shareholders' meeting, and the rules of procedure for the board of directors were also approved.

The company also announced new executive appointments following a Fourth Session Board Meeting. Yu Weiping, Lin Cunzeng, Wang Feng, and Liu Ke’an were appointed as vice presidents, with Wang Feng also serving as interim CFO. Wang Jian was appointed as company secretary. These appointments, along with revisions to the Audit and Risk Management Committee's work rules, are effective until the end of the Fourth Session Board's term, reinforcing the company's leadership structure and corporate governance.
