Southwest Securities to amend articles, appoint auditors for 2025

Southwest Securities Co. will hold its first extraordinary general meeting of shareholders on September 26, 2025, to address several key proposals. A central item on the agenda is the amendment of the company’s articles of association and related rules of procedure. This will see the elimination of the supervisory board and its supervisors, with their responsibilities transferring to the audit committee. The company will also empower its board of directors and management to handle related regulatory filings and registration changes.

Shareholders will also vote on revising the remuneration and performance evaluation methods for directors and supervisors, renaming it the "Southwest Securities Co., Ltd. Directors' Remuneration and Performance Evaluation Regulations." This aims to align governance practices with current regulatory requirements.

Furthermore, the meeting will seek approval for the re-appointment of Tianjian Certified Public Accountants (Special General Partnership) as the auditor for the company's 2025 financial report and internal control audit. The total audit fee for 2025 is set at 880,000 yuan, comprising 680,000 yuan for the financial report audit and 200,000 yuan for the internal control audit.
