Nanjing Gaoke revamps governance, abolishes board of supervisors

Nanjing Gaoke announced its board of directors and supervisors approved resolutions to abolish the board of supervisors and amend the articles of association, effective from a shareholders' meeting on October 29, 2025. The functions of the board of supervisors will be transferred to the board's audit committee. The company will expand its board of directors from 7 to 9 members, adding one non-independent director and one employee director, with Wu Quan nominated as a non-independent director.

This restructuring follows the latest PRC Company Law (2023 Amendment) and related regulations. Several internal governance documents, including the Shareholders' Meeting Rules, Board of Directors' Meeting Rules, Independent Director System, and Remuneration Management Measures for Directors and Senior Management, will be revised or repealed. These changes, aimed at enhancing corporate governance and operational efficiency, require approval at the upcoming extraordinary general meeting.
