Keli Sensing elects employee representative director, approves governance changes

Keli Sensing Technology (Ningbo) announced the election of Ms. Fang Yuan as the employee representative director for its fifth board of directors, effective from the employee representative meeting on September 18, 2025, until the board's term concludes. Ms. Fang, born in 1985 with a bachelor's degree, previously served as a non-employee representative director and currently holds the position of director and deputy general manager at the company. Her election maintains the board's composition of nine directors, including three independent directors and one employee representative director.

The company's first extraordinary general meeting of 2025, held on September 18, 2025, approved several key proposals. These include the re-appointment of the 2025 accounting firm, changes to registered capital, the abolishment of the supervisory board, and amendments to the articles of association and other governance documents. The meeting, which saw 602 shareholders representing 53.9799% of voting shares, also approved revisions to various corporate governance policies, including the independent director work system and profit distribution management system.

The law firm JunHe verified that the general meeting's convening, procedures, and participant qualifications complied with relevant laws and the company's articles of association. All resolutions, including the special resolutions, were duly passed, affirming the validity of the decisions made.
