China Avionics Systems shareholders approve governance revisions, abolish supervisory board

China Avionics Systems announced the resolutions from its third extraordinary general meeting of shareholders held on September 16, 2025. A total of 1,542 shareholders and proxies, representing 2,740,962,825 shares or 56.6443% of the total voting shares, participated. The meeting was chaired by company chairman Hu Linping.

Two key proposals were approved. The first, concerning the revision of the "Articles of Association of AVIC Airborne Systems Co., Ltd." and related rules of procedure, passed with 99.5474% of votes in favor. The second proposal, to abolish the Supervisory Board, also received shareholder approval with 98.0345% of votes in favor. Both resolutions were classified as special resolutions and passed with more than two-thirds of the effective voting shares held by attending shareholders.

The meeting saw 9 out of 10 directors and 4 out of 5 supervisors in attendance, with several key executives also present. Beijing Jia Yuan Law Firm provided legal oversight, affirming that the meeting's convening, procedures, and resolutions were legally valid and effective.
