Amlogic to acquire Xinmaiwei semiconductor for 316.11 million yuan

Amlogic (Shanghai) Co., Ltd. announced its intention to acquire 100% of Xinmaiwei Semiconductor (Jiaxing) Co., Ltd. for a total cash consideration of 316.11 million yuan. Following the acquisition, Xinmaiwei Semiconductor will become a wholly-owned subsidiary of Amlogic, integrating into its consolidated financial statements. The transaction was approved by Amlogic's Third Board of Directors at its twenty-first meeting on September 15, 2025.

The acquisition aims to leverage Xinmaiwei Semiconductor's wireless communication expertise and R&D team to expand Amlogic's capabilities in cellular, optical, and Wi-Fi communication technologies. This move is expected to enhance Amlogic's AIoT product offerings in WAN, automotive, and wearable sectors, while also strengthening its Wi-Fi product line towards higher bandwidth Wi-Fi 7 and lower power Wi-Fi 1x1 solutions.

The transaction involves thirteen selling parties, including Sun Dian and Zhuhai Xintengfei Technology Partnership (Limited Partnership). The purchase price of 316.11 million yuan was determined through negotiation, referencing a valuation based on market methods. The payment will be made in two installments, with 50% upon the agreement's effectiveness and the remaining 50% upon completion of the industrial and commercial registration for the equity transfer.
