Xinhua Commercial Group to hold EGM on board appointments, compensation

Yinchuan Xinhua Commercial Group Co., Ltd. has announced its fifth extraordinary general meeting of shareholders for 2025, scheduled for September 26, 2025, at 9:30 AM in the New Century Group Building's sixth-floor conference room. Shareholders will vote on proposals including the annual allowance for independent directors of the tenth board of directors and the election of new board members. The meeting will utilize a combination of on-site and online voting via the Shanghai Stock Exchange's network voting system, with the equity registration date set for September 18, 2025.

The agenda includes the election of five non-independent directors and three independent directors for the tenth board. The board has also announced the election of Ms. You Wei as the employee representative director for the tenth board of directors. Ms. You Wei, 36, has served as general manager of human resources and administration at Yinchuan Xinhua Commercial Group Co., Ltd. since January 2023.

These elections are crucial as the ninth board's term is ending, and the new board will be composed of five non-independent directors, three independent directors, and one employee representative director. The company ensures that the number of directors concurrently holding senior management positions and employee representative directors does not exceed one-half of the total number of directors.
