Sayram Modern Agriculture schedules EGM for governance reforms

Xinjiang Sayram Modern Agriculture Co., Ltd. has announced its second extraordinary general meeting of shareholders for 2025, scheduled for September 16, 2025, at 10:30 AM in Xinjiang's Shuanghe City. Shareholders can participate via in-person or online voting through the Shanghai Stock Exchange system. The online voting window will be open on September 16, 2025, from 9:15 to 15:00.

Key agenda items include the proposed cancellation of the supervisory board, with its functions to be assumed by the board of directors' audit committee, and extensive revisions to the company's articles of association and other internal governance documents. These revisions aim to align with the new Company Law and enhance corporate governance, as approved by the eighth board of directors’ twelfth meeting and the supervisory board’s eleventh meeting.

The proposed amendments to the articles of association cover areas such as the company’s address, legal representative’s powers, share capital, and the framework for shareholder meetings. Other revised internal policies include the rules for shareholder and board meetings, related party transactions, and remuneration for directors and senior management.
