China Avionics Systems to revise governance, eliminate supervisory board

China Avionics Systems Co., Ltd. will hold its third extraordinary general meeting of shareholders on September 16, 2025, to vote on critical amendments to its articles of association and related procedural rules. These proposed changes are in response to the "Company Law of the People's Republic of China" (effective July 1, 2024) and the "Guidelines for Articles of Association of Listed Companies" (2025 revision), along with transitional arrangements issued by the China Securities Regulatory Commission on December 27, 2024.

A key proposal involves the abolition of the supervisory board, with its responsibilities to be transferred to the board of directors' audit committee. The company asserts that this change will not adversely affect corporate governance, production, or operations.

Further revisions to the articles of association include refining general provisions, clarifying the legal responsibilities of the legal representative, enhancing shareholder and board-related systems, and updating the scope of powers for the general manager and other senior management. These changes aim to align the company's governance structure with new legal requirements and improve operational efficiency.
