Hunan Nonferrous to consolidate ownership of Zhuzhou Smelter Group

Zhuzhou Smelter Group Co., Ltd. announced that its indirect controlling shareholder, Hunan Nonferrous Metals Holding Group Co., Ltd. ("Hunan Nonferrous"), plans a gratuitous transfer of Zhuzhou Smelter Group shares. Hunan Nonferrous intends to transfer 321,060,305 shares (29.93% of total share capital) held by its wholly-owned subsidiary, Hunan Shui Kou Shan Nonferrous Metals Group Co., Ltd., and 14,355,222 shares (1.34% of total share capital) held by its wholly-owned subsidiary, Hunan Nonferrous Metals Co., Ltd., to Hunan Nonferrous.

Upon completion, Hunan Nonferrous will directly hold 335,415,527 shares, representing 31.26% of Zhuzhou Smelter Group's total share capital. Additionally, Hunan Nonferrous will indirectly hold 212,248,593 shares (19.78% of total listed company share capital) through Zhuzhou Smelter Group Co., Ltd. Hunan Shui Kou Shan Group and Hunan Nonferrous Co., Ltd. will no longer hold shares in Zhuzhou Smelter Group.

This will change Zhuzhou Smelter Group's controlling shareholder from Hunan Shui Kou Shan Group to Hunan Nonferrous, though the ultimate actual controller, China Minmetals Corporation, remains unchanged. The company noted that these matters are currently in the planning stage, with no gratuitous transfer agreements yet signed or all related legal procedures completed.
