Hengrui Medicine proposes amendments to articles of association

Jiangsu Hengrui Medicine (SSE:600276) announced its board of directors has approved proposed amendments to the company's Articles of Association. The resolution was passed at the Ninth Session of the Board's Fourteenth Meeting on April 2, 2025, and will be submitted for shareholder approval at the 2024 annual general meeting. The key amendment involves changing Article 105 to allow for a board size ranging from 9-13 directors, modifying the current fixed structure of 9 directors and the prior proposed structure of 9-11 directors. This change aims to enhance the flexibility of the board's composition and further optimize the company's corporate governance structure.
