Kongsberg Gruppen schedules EGM to approve maritime business spin-off

Kongsberg Gruppen ASA has called an extraordinary general meeting for January 22, 2026, at 14:00 CET to approve the demerger of its Kongsberg Maritime business unit into a newly established entity, Kongsberg Maritime ASA. The meeting will be held digitally.

The proposed demerger involves transferring assets, rights, and obligations related to the Kongsberg Maritime business unit to Kongsberg Maritime ASA, with Kongsberg Gruppen's share capital being reduced. Existing shareholders will receive new shares in Kongsberg Maritime ASA as demerger consideration. The agenda also includes approving the nominated board members and remuneration for Kongsberg Maritime ASA, as well as linguistic adjustments to Kongsberg Gruppen's articles of association and the election of a new auditor for Kongsberg Gruppen.

The demerger plan, along with appendices, the nomination committee's recommendation, proposed new articles of association, and the audit and sustainability committee's recommendation for the new auditor, are available on Kongsberg Gruppen ASA's website.
