Ensurge Micropower prospectus approved, share offering subscription period opens

Ensurge Micropower ASA announced that the Norwegian Financial Supervisory Authority has approved its prospectus, a crucial step following the company's private placement and ahead of its subsequent offering. This approval facilitates the listing of 93,146,782 private placement shares and enables the offering and listing of up to 22,222,222 subsequent offering shares.

The approval also covers the future listing of shares issuable upon the exercise of warrants from the August 2025 private placement and warrants issued to Corning Incorporated on December 3, 2025. The extraordinary general meeting on December 3, 2025, approved Tranche 2 of the private placement and the subsequent offering, fulfilling a prior condition.

The subscription period for the subsequent offering will commence on December 5, 2025, at 09:00 CET and conclude on December 12, 2025, at 16:30 CET. The prospectus is available on the websites of Arctic Securities AS and DNB Carnegie, who acted as managers and bookrunners.
