Hofseth BioCare's subsequent offering falls short of target

Hofseth BioCare ASA (HBC) aimed to raise up to approximately NOK 30,000,000 by issuing up to 16,666,666 new ordinary shares at NOK 1.80 per share. The offering was directed towards eligible shareholders as of October 24, 2025.

However, by the close of the application period on November 20, 2025, the company received applications for only 1,215,560 Offer Shares. The board has allocated all subscribed shares to eligible shareholders, significantly below the maximum target.

Completion of the offering is contingent on the valid registration of the board's share capital increase authorization with the Norwegian Register of Business Enterprises, the board formally resolving the increase, receipt of payments for all subscribed shares, and due registration of the capital increase.
