Skandia GreenPower shareholders approve merger, auditor change

Skandia GreenPower AS held an extraordinary general meeting on October 21, 2025, where all agenda items were unanimously approved as proposed by the Board. Key resolutions included the election of Odd Henning Dypvik as chairperson and Lars Gunnar Abusdal to co-sign the minutes.

Shareholders elected Deloitte SpinCo AS as the company’s new auditor. This change follows Deloitte AS's decision to divest parts of its audit and advisory business, leading to the establishment of Deloitte SpinCo AS, which will retain relevant personnel.

Additionally, shareholders approved a merger plan with wholly-owned subsidiary Motkraft Gruppen AS. Under the terms, Skandia GreenPower AS will assume all assets, rights, and obligations from Motkraft Gruppen AS, which will then be dissolved. Total represented voting rights amounted to 47.80% of the company's share capital.
