Jens Rugseth consolidates Spir Group share ownership

Rugz AS transferred 97,899 shares in Spir Group ASA to Karbon Invest AS on September 24, 2025. Both entities are close associates of Jens Rugseth, a board member and primary insider in Spir Group ASA. The transaction, valued at NOK 773,402.1 at a price of NOK 7.9 per share, was conducted outside a trading venue.

This transfer aims to consolidate Mr. Rugseth’s share ownership in the company, according to the announcement. The company stated this internal restructuring does not involve a realization of the shares' value nor any alteration in Mr. Rugseth’s total indirect ownership in Spir Group ASA.

The transactions were disclosed in accordance with Article 19 of the Market Abuse Regulation and Section 5-12 of the Norwegian Securities Trading Act. Karbon Invest AS recorded a purchase, while Rugz AS recorded a disposal, both for the same volume and price.
