Hawk Infinity Software acquires full ownership of Digiflow for NOK 267m

Hawk Infinity Software AS (HIS) has acquired the remaining 33% minority stake in Digiflow AS for NOK 267 million, bringing its ownership to 100%. The majority of this consideration, along with an additional NOK 25 million for settling deferred payment obligations, will be paid in shares of HIS’s parent company, Hawk Infinity AS.

Digiflow, a market-leading provider of managed IT services to Norwegian SMBs, has demonstrated strong growth since HIS acquired a majority stake in July 2024. The company reported an unaudited LTM EBITDA of NOK 61 million as of end of August 2025, marking a 24% increase (NOK 12 million) from its LTM June 2024 EBITDA.

This acquisition follows a strategic pattern for HIS, which has increased its ownership in several companies, including Norbits AS and Marketplace AS, since Q1 2024, largely settling these minority stake purchases with HIS shares. Following this transaction, HIS’s pro-rata share of consolidated EBITDA stands at 98%. The acquisition will be funded through available liquidity and an equity issue in HIS towards Hawk Infinity AS.
