Hawk Infinity Software expands portfolio with three strategic acquisitions

Hawk Infinity Software AS (HIS) has completed the acquisition of 80% of ATOM Tech SIA, 100% of Vistra GbR, and 100% of Apicon GmbH. ATOM Tech, established in 2018, offers a SaaS platform for mobility businesses, including micro-mobility and ride-hailing. Vistra, founded in 1994, provides compliance solutions and integrated management systems. Apicon, a leading provider of SAP master data management software, focuses on Germany's manufacturing enterprises with products like APICON Data Master and APICONNECT.

These newly acquired companies collectively reported a Last Twelve Months (LTM) pro forma revenue of NOK 99m and an EBITDA of NOK 51m. The total upfront enterprise value for these acquisitions was NOK 438m.

The acquisitions were financed through available liquidity, funds released from an escrow account, and an equity issue in HIS directed towards Hawk Infinity AS.
