Spetalen transfers major Arribatec stake to daughters

Øystein Stray Spetalen has transferred his entire indirect ownership in Arribatec Group ASA, comprising both shares and warrants, to his daughters, Sophie Stray Spetalen and Jenny Stray Spetalen. The transfer, effective September 1, 2025, was executed as equal gifts to Sss AS and Jss Capital Management AS, entities owned by his daughters, respectively. The securities were transferred through Ferncliff Listed DAI AS, a subsidiary of Ferncliff Holding AS.

Prior to the gifts, Spetalen indirectly held 120,998,793 shares, representing 25.109% of the shares and voting rights, along with 85,735,763 warrants. These warrants, exercisable at a subscription price of NOK 0.10, can be converted into one share each and remain valid until February 7, 2026. In total, the transferred securities amounted to 206,734,556, corresponding to 36.421% of the company's total shares and voting rights.

Following this transaction, Øystein Stray Spetalen now holds zero shares, voting rights, and warrants in Arribatec Group ASA, either directly or indirectly. Ferncliff Holding AS, however, retains indirect ownership of the 120,998,793 shares (25.109%) and 85,735,763 warrants (36.421% of total securities) within the company.
