Spetalen gifts entire Saga Pure stake to daughters' companies

Øystein Stray Spetalen, a person discharging managerial responsibilities at Saga Pure ASA, has gifted all his shares in the company, along with his holdings in Ferncliff Holding AS (which indirectly owns Saga Pure shares), to Sss AS and Jss Capital Management AS. These companies are owned by his daughters, Sophie Stray Spetalen and Jenny Stray Spetalen, respectively, with each receiving an equal 50/50 split. The transactions were dated September 1, 2025.

Jss Capital Management AS received 86,420,899 shares in Saga Pure ASA, while Sss AS received 86,420,900 shares. Both transfers were reported as "Gift - received" with a price of zero. Øystein Stray Spetalen reported "Gift - given" of 379,051,854 shares in Saga Pure ASA, also at a zero price, aggregating the transfers from his direct and indirect holdings.
