Warehouse group director Joan Withers reduces holdings in trustee companies

Joan Withers, a director of The Warehouse Group Limited, has significantly reduced her relevant interests in the company's employee share schemes, according to an ongoing disclosure notice filed on November 28, 2025. Withers disposed of interests in shares held by The Warehouse Management Trustee Company Limited and The Warehouse Management Trustee Company No.2 Limited. This transaction involved an off-market transfer of 67 shares from the first trustee company and 66 shares from the second, ceasing her relevant interest in a combined 1,493,057 ordinary shares.

Prior to the disposal, Withers held 67 shares in the trustee company and 66 shares in trustee company No.2. Following the transfers, her holdings in both trustee companies are now nil. The transactions, which occurred on November 28, 2025, involved John William Michael Journee as the other party, with the consideration stated as nil.

Despite these disposals, Withers retains other relevant interests in The Warehouse Group. These include 2,500 ordinary shares registered under Brian Withers and Joan Withers, and 112,919 ordinary shares where Joan Withers is the registered holder and beneficial owner. The disclosure was authorized by Silv Roest, chief legal and corporate affairs officer, and company secretary, on December 1, 2025.
