This capital change, dated November 21, 2025, involved shares previously allocated to the Bremworth Share Scheme Limited (LTI Trustee) under the Bremworth 2022 Long-Term Incentive Scheme. The shares were identified as "Unallocated Scheme Shares," originally designated for senior management whose employment ceased or whose entitlements lapsed.

The acquisition was carried out without consideration paid by Bremworth, as the LTI Trustee had no beneficial interest in these shares, which were initially issued for nil consideration. The action was authorized by a directors' resolution on October 1, 2025, and adheres to NZX Listing Rules 4.14.1(d)(ii) and 4.14.2, as well as sections 60 and 61 of the Companies Act 1993. Following this change, the total number of fully paid up ordinary shares in Bremworth Limited stands at 69,089,365, with no shares held as treasury stock.
