Promisia Healthcare reports changes to share capital and RSU holdings

Promisia Healthcare Limited reported a capital change, issuing 36,600 ordinary shares and converting 36,600 unquoted restricted share units (RSUs). Concurrently, 23,400 RSUs were redeemed and cancelled. The issued shares, including those from RSU conversions, were valued at NZD 0.4317 per security, based on the 20-business day VWAP of PHL's ordinary shares prior to the vesting date.

The percentage of shares issued is 0.069%, while the combined percentage of RSUs converted and redeemed amounts to 6.90%. The transactions were executed on November 14, 2025, in accordance with NZX Listing Rule 4.6.1, 4.9.1(b), and the terms outlined in the individual's letter of invitation and the RSU Plan Rules.
