Bremworth scheme progresses after ACCC confirmation

Bremworth Limited announced on October 15, 2025, that the Australian Competition and Consumer Commission (ACCC) has confirmed it does not intend to conduct a public review or oppose the proposed scheme of arrangement ("Scheme") with Floorscape Limited. This confirmation satisfies a critical condition under the Scheme implementation agreement (SIA) entered into on October 2, 2025.

The SIA remains subject to other conditions, including shareholder approval, High Court approval, New Zealand Commerce Commission clearance, and an IRD ruling on the tax implications of the associated capital return. Bremworth and Floorscape are targeting completion of the Scheme in the first half of 2026.

Bremworth emphasized that shareholders do not need to take any action at this stage.
