Skellerup grants 1.05m employee share options at NZD5.01 exercise price

Skellerup Holdings Limited has issued 1,050,000 unquoted share options under its Share Option Plan, as approved by a directors' resolution on September 22, 2025. These options, which represent 100% of the FY25 Grant class, are convertible into Skellerup ordinary shares. No consideration is payable for the options at the time of issue, and they carry no nominal value. The issue date is October 6, 2025.

The exercise price for these options is NZD5.01 per option, calculated based on the twenty-trading-day volume-weighted average price of Shares on the NZX Main Board starting August 25, 2025. The options vest on September 1, 2028, provided the holder remains employed by Skellerup or its subsidiary. Holders can then exercise their options between September 1, 2028, and November 1, 2028. Upon exercise, one Share will be issued per option, with a cashless exercise option also available.

These options do not confer rights to dividends, distributions, or voting in respect of Shares, and cannot be transferred or used as security interests without prior Board approval. The total number of financial products of this class after the issue is 1,050,000 options.
