Smartpay secures initial court orders for Shift4 scheme

Smartpay Holdings Limited announced today, September 17, 2025, that it has obtained initial High Court orders concerning its Scheme of Arrangement with Shift4 Holdings Limited and Shift4 Payments, LLC. A copy of these sealed initial orders is attached to the announcement.

The company clarified that these initial orders do not constitute High Court approval of the Scheme. Smartpay will proceed to seek final court approval once shareholders endorse the Scheme at the upcoming Scheme Meeting.

The Scheme Booklet, which includes recommendations from Smartpay's directors, the meeting notice, and an Independent Adviser’s Report, is scheduled for release on the NZX and ASX market announcement platforms tomorrow. This announcement will also provide details regarding the Scheme Meeting and indicative dates for the remaining steps in the Scheme process.
