Contact Energy restates stake in Manawa Energy after amalgamation

Contact Energy Limited has disclosed a movement relating to its substantial holding in Manawa Energy Limited (NZX: MNW) following the amalgamation of Renew Nominees Limited, Infratil Investments Limited, and Infratil Energy New Zealand Limited on March 31, 2025. While the total number of Manawa shares held by Contact remains at 243,876,087, representing 77.922% of the class, the registered holder now solely reflects Infratil Investments Limited. The change stems from an earlier scheme implementation agreement (SIA) under which Contact will acquire all Manawa shares for a mix of 0.5719 Contact shares and cash of NZD 1.16 per Manawa share. The IFT Voting Agreement, under which Contact is entitled to certain voting rights attached to Manawa Shares, remains in full force. The disclosure is dated April 1, 2025.
