Kerala Ayurveda forms Bali joint venture for global expansion

Kerala Ayurveda Limited (KAL) announced on December 27, 2025, that its wholly-owned subsidiary, Nutraveda PTE LTD (WOS), has entered into a joint venture agreement with Monica Mohindra. This partnership establishes Pt. Kerala Ayurveda Bali (JVCo.) to offer sports education, recreation, hospitality, and traditional wellness services.

The JVCo., incorporated on October 30, 2025, will see WOS hold 50% of its equity shares, with the remaining 50% held by Monica Mohindra. Nutraveda PTE LTD will hold 5,000 equity shares, totaling a nominal value of IDR 5,000,000,000, representing half of the JVCo.'s issued and paid-up share capital.

The JVCo. has an authorized share capital of IDR 10,000,000,000 divided into 10,000 shares, with a fully paid-up share capital of IDR 2,500,000,000 across 2,500 equity shares. Both Nutraveda PTE LTD and Monica Mohindra each hold 1,250 equity shares, representing a 50% stake. Transfer of shares is restricted, requiring prior offer to existing shareholders and approval from the general meeting of shareholders.
