Gravita India shareholders approve executive remuneration revisions

Gravita India Limited announced on December 26, 2025, the successful completion of a postal ballot, where shareholders approved revised remuneration for three key executives. The resolutions were passed as special resolutions, with the company utilizing a remote e-voting process managed by Central Depository Services (India) Limited (CDSL). The e-voting period spanned from November 27 to December 26, 2025.

Rajat Agrawal, chairman-cum-managing director, will receive a revised remuneration effective April 1, 2025, including a basic salary of INR 23,07,677 per month and HRA, perquisites & other allowances of INR 32,93,556 per month. The resolution passed with 99.9563% of votes in favor. Similarly, Yogesh Malhotra, whole-time director & CEO, had his remuneration revised to a basic salary of INR 3,36,000 per month, HRA, perquisites & other allowances of INR 4,50,948 per month, and a special ex-gratia of INR 62,50,000 per month, with 98.0165% of votes in favor.

Finally, Sunil Kansal, whole-time director & CFO, will also see his remuneration revised from April 1, 2025, to a basic salary of INR 2,52,000 per month, HRA, perquisites & other allowances of INR 3,37,570 per month, and a special ex-gratia of INR 6,25,000 per month. This resolution received 98.0057% of votes in favor. The company stated that these revisions are in accordance with the Companies Act, 2013, and SEBI Listing Regulations, 2015.
