Wardwizard Innovations promoter’s shares invoked due to margin shortfall

Wardwizard Innovations & Mobility Limited has disclosed that 1,93,54,839 equity shares of promoter Yatin Sanjay Gupte were invoked by Gangabase Barter Private Limited on December 15, 2025. This action, totaling 6.43% of the company's total diluted share/voting capital, was triggered by a shortfall in the required margin.

Prior to the invocation, Yatin Sanjay Gupte held 4,85,66,153 shares, representing 16.14% of the voting rights, and had 4,29,46,729 shares encumbered, accounting for 14.28%. Post-invocation, Gupte’s direct shareholding decreased to 2,92,11,314 shares (9.71%), while the total encumbered shares now stand at 2,35,91,890 shares (7.84%).

The total equity share capital of Wardwizard Innovations & Mobility Limited remains at Rs. 30,08,17,446, divided into 30,08,17,446 equity shares of Re. 1/- each. The overall holding of the acquirer, including shares and encumbrances, now totals 3,21,03,752, representing 10.67% of the total diluted share/voting capital.
