Samvardhana Motherson completes Onega Solar acquisition, bolstering sustainability efforts

Samvardhana Motherson International Limited announced the completion of its acquisition of Onega Solar Private Limited (OSPL-SPV) on December 24, 2025. This acquisition was executed through the company’s wholly-owned subsidiary, Motherson New Energy Limited, securing 100% ownership of OSPL-SPV through equity shares and compulsorily convertible debentures.

OSPL-SPV is a special purpose vehicle established to develop a 15 MWp Group Captive Solar Project in Uttar Pradesh. This strategic acquisition aligns with Samvardhana Motherson’s broader sustainability objectives, aiming for long-term cost efficiencies and a reduced carbon footprint across its domestic operations. The completion followed the fulfillment of all conditions precedent.

With this finalization, OSPL-SPV has officially become an indirect subsidiary of Samvardhana Motherson International Limited. The intimation was made pursuant to Regulation 30 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015.
