Jyotsna Poddar gifted shares, increasing stake in Texmaco Rail

Jyotsna Poddar, an immediate relative and part of the promoter group of Texmaco Rail & Engineering Limited (TREL), acquired 250,000 equity shares of the company on December 19, 2025. This acquisition, conducted via a gift from Akshay Poddar, represents 0.06% of TREL’s diluted share capital.

The transaction qualifies for exemption under Regulation 10(1)(a) of the SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011, for inter se transfer between immediate relatives. Consequently, the disclosure under Regulation 10(6) of the SAST Regulations was submitted to the National Stock Exchange of India Limited and BSE Limited on December 23, 2025.

Following the acquisition, Jyotsna Poddar's shareholding in TREL increased from 104,032 shares (0.03%) to 354,032 shares (0.09%). Conversely, Akshay Poddar's stake decreased from 264,820 shares (0.07%) to 14,820 shares (0.00%). This shift was noted as a non-monetary consideration due to the nature of the gift.
